📖 1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and Grambo App ("Grambo", "we", "our", or "us") governing your access to and use of:

• The Grambo macOS application ("App")
• The Grambo website at gramboapp.com ("Website")
• Any related services, content, or features (collectively, the "Service")

By downloading, installing, or using Grambo, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not download or use the App.

If you are using Grambo on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

✅ 2. Eligibility

You must be at least 13 years of age to use Grambo. If you are under 18, you represent that you have obtained parental or guardian consent. By using the Service, you confirm that you meet these eligibility requirements.

Grambo is currently available as a macOS application. You are responsible for ensuring your device meets the minimum system requirements.

🔑 3. Licences & Subscriptions

3.1 Licence Grant

Subject to your compliance with these Terms and payment of the applicable fees, Grambo grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on Mac devices that you own or control, solely for your personal or professional use.

3.2 Subscription Plans

Grambo offers the following plans:

• Free Trial: A time-limited free evaluation of Grambo's features. No payment required.
• Monthly Subscription: Billed monthly. Provides access to Grambo Cloud and all premium features. Renews automatically until cancelled.
• Lifetime Licence: A one-time payment granting perpetual access to the App for the version purchased, including all future updates released during the active development period.

3.3 Licence Restrictions

You may not:

• Copy, modify, distribute, or create derivative works based on the App.
• Reverse engineer, decompile, or disassemble the App.
• Sublicense, sell, resell, transfer, or assign your licence to any third party.
• Use the App in any manner that could damage, disable, or overburden our infrastructure.
• Share your licence key or subscription credentials with others.

💳 4. Payments & Billing

4.1 Payment Processing

All payments are processed securely by Lemon Squeezy, our third-party payment provider. By making a purchase, you agree to Lemon Squeezy's Terms of Service. Grambo does not store or handle your raw payment card details.

4.2 Subscription Billing

Monthly subscriptions are billed automatically on a recurring basis. By subscribing, you authorise Grambo (via Lemon Squeezy) to charge your payment method on each billing cycle until you cancel.

• You will receive an email receipt after each successful charge.
• If a payment fails, we may retry the charge or suspend your account until payment is received.
• Prices are subject to change. We will give at least 30 days' notice before any price change takes effect for existing subscribers.

4.3 Taxes

Prices shown may be exclusive of applicable taxes (e.g., VAT, GST). Any applicable taxes will be calculated and displayed at checkout based on your location.

↩️ 5. Refund Policy

We want you to be happy with Grambo. If you are not satisfied with your purchase, the following refund terms apply:

• Monthly Subscriptions: You may request a full refund within 14 days of your initial subscription payment. Refunds are not available for subsequent renewal charges once the billing cycle has started.
• Lifetime Licences: You may request a full refund within 14 days of purchase, provided you have not activated your licence key on more than one device.
• Free Trial: No charges apply during a free trial period; no refund is needed.

To request a refund, please contact us at support@gramboapp.com with your order details. Refunds are processed back to your original payment method, typically within 5–10 business days.

🚫 6. Cancellation

You may cancel your monthly subscription at any time through your Lemon Squeezy customer portal or by contacting our support team. Upon cancellation:

• Your subscription will remain active until the end of the current paid billing period.
• You will not be charged again after cancellation.
• Access to Grambo Cloud features will cease at the end of the billing period.
• To continue using Grambo after cancellation, you will need an active licence (e.g. a Lifetime Licence). The free trial period is 7 days from installation; after that, a valid subscription or licence is required for all modes, including Offline and BYOK.

Grambo reserves the right to terminate or suspend your account if you violate these Terms, with or without prior notice.

⚙️ 7. The Service & Acceptable Use

7.1 Service Description

Grambo is a macOS application that uses AI to help you improve grammar, style, and clarity in your writing. It operates in three modes:

• Offline / Local AI: On-device processing — no data leaves your Mac.
• BYOK (Bring Your Own Key): Your text is sent directly to an AI provider of your choice using your own API key. This does not pass through Grambo's servers.
• Grambo Cloud: Your selected text is routed via Grambo's backend to an AI provider. Available on the Monthly plan.

7.2 Acceptable Use

You agree not to use the Service to:

• Generate, distribute, or process any content that is unlawful, harmful, defamatory, obscene, or infringing on third-party rights.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Automate, scrape, or bulk-process text through the Service beyond normal personal or professional use.
• Circumvent, disable, or otherwise interfere with security-related features of the App.
• Use the Service in any way that violates applicable laws or regulations.

🔄 8. Updates & Changes to the App

We are continuously improving Grambo. We may, from time to time:

• Release updates, patches, or new versions of the App.
• Add, modify, or remove features.
• Change or discontinue third-party AI provider integrations.

For Lifetime Licence holders, updates released during the active development period of the purchased version are included. We will provide reasonable notice if a major new version requires a separate purchase.

We reserve the right to discontinue the Service with reasonable prior notice. In the event of discontinuation, Lifetime Licence holders will receive a pro-rated refund where reasonably applicable.

🤖 9. Third-Party AI Services

Grambo integrates with third-party AI service providers (such as OpenAI, Anthropic, and Google) to deliver grammar corrections. Your use of these integrations is subject to their respective terms of service:

Grambo is not affiliated with, endorsed by, or sponsored by any of these third-party providers. We are not responsible for any changes to their services, pricing, or policies.

🧠 10. Intellectual Property

All intellectual property rights in the App, Website, and Service — including software, design, logos, trademarks, and content — are owned by or licensed to Grambo. Nothing in these Terms transfers any intellectual property rights to you.

Your Content: You retain full ownership of any text or content you process through Grambo. By using the Service, you do not grant Grambo any rights to your content beyond what is strictly necessary to deliver the correction (i.e., passing your text to the AI provider in Grambo Cloud mode).

You may not use Grambo's name, logo, or trademarks without our prior written consent.

⚠️ 11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.
• Warranties that the App will be uninterrupted, error-free, or free of viruses or other harmful components.
• Warranties regarding the accuracy, reliability, or completeness of any grammar corrections or suggestions provided by the AI.

AI-generated corrections are suggestions only. You are solely responsible for reviewing and deciding whether to apply any corrections to your writing.

🛡️ 12. Limitation of Liability

To the maximum extent permitted by applicable law, Grambo and its affiliates, officers, employees, agents, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or other intangible losses.
• Damages resulting from your use of or inability to use the Service.
• Any errors, inaccuracies, or omissions in AI-generated content.
• Unauthorised access to or alteration of your data.

In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability, our liability shall be limited to the greatest extent permitted by law. In no event shall our total cumulative liability exceed the amount you paid for the Service in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Grambo and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your violation of these Terms.
• Your use of the Service in a manner not permitted by these Terms.
• Any content you submit, process, or transmit through the Service.
• Your violation of any applicable law or the rights of any third party.

The Website and App may contain links to third-party websites or services. These links are provided for convenience only and do not constitute an endorsement. Grambo has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

📝 15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last updated" date at the top of this page.
• Post a notice on our website for a reasonable period.
• Where required by law, notify you by email.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service.

⚖️ 16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through good-faith negotiation in the first instance. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction.

📦 17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Grambo regarding the Service and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
• Language: These Terms are written in English. Any translations are provided for convenience only; the English version shall prevail in the event of any conflict.
